General terms and conditions of business to business (B2B)



Article 1: Scope of application

These General Terms and Conditions of Sale (GTCS) apply to all orders placed on the pro.vitalgomag.com e-commerce site by healthcare professionals (B2B customers) acting within the scope of their professional activity. By professionals, we mean any medical or paramedical profession and any physical or online sales outlet.

All orders imply unreserved acceptance of the present terms and conditions. These terms and conditions are governed by French law and are accepted by the mere fact of reading them.

Article 2 : Products

The magnetotherapy magnets offered for sale on this site are intended exclusively for professionals. The customer acknowledges that he/she has the necessary skills to assess the suitability of the products for his/her activity.

The descriptions, photographs and specifications of the products on the site are provided for information only and do not bind Vital Perfect in the event of minor variations or technical evolutions of the products.

Article 3 : Rates and payments

The professional prices on this site are reserved for professionals only.

You must justify an official professional existence to order. Any official registration number is valid: RPPS, SIRET, Handelsregisternummer, Numero di iscrizione al Registro delle Imprese, Número de Identificación Fiscal de Empresa, Company Registration Number.

  • 3.1. Prices
    All our prices are exclusive of tax, ex France. Free delivery is applied for France excluding French overseas departments and territories on orders of €150 or more excluding VAT, and for EU countries on orders of €400 or more excluding VAT.

  • 3.2 Payment methods
    Payment is made online by credit card, bank transfer or any other means offered on the site. No order will be dispatched until full payment has been received.

    In accordance with the provisions of Law n° 800336 of May 12 1980, Vital Perfect reserves ownership of the goods delivered until full payment has been received. In the event of late payment and reminders, charges and interest will be added to the invoice(s) due. Furthermore, Vital Perfect, without losing any of its rights, may demand by registered letter with acknowledgement of receipt the return of the goods at the expense and risk of the purchaser.

  • 3.3. Late payment
    In the event of late payment, penalties equal to 10% of the amount inclusive of tax per day of delay will be applied, in accordance with the provisions of article L.441-10 of the French Commercial Code. A fixed indemnity of €40 for collection costs may also be claimed.

Article 4 : Orders

  • 4.1. Ordering process
    The order is validated when the customer has confirmed his basket, accepted the present GTC and made payment. We reserve the right to refuse any order in the event of a previous dispute or failure to comply with these GTC.

  • 4.2 Modification or cancellation
    Any request to modify or cancel an order must be made in writing before the products are dispatched. After this date, the order is considered firm and definitive.

Article 5 : Delivery

  • 5.1. Delivery times
    Products are dispatched within 2 working days of receipt of payment. Delivery times are given as an indication and do not constitute a firm commitment. We deliver worldwide. It is the customer's responsibility to ensure that the products ordered are authorized for import into the country of destination.

  • 5.2. Transport
    Goods travel at the recipient's risk, in accordance with the provisions of articles L.133-1 et seq. of the French Commercial Code. All parcels are carefully checked before dispatch. It is the recipient's responsibility to check the condition of the parcel and the goods upon receipt./p>

In the event of damage, open package or missing products, it is imperative:

  1. To issue precise and detailed reservations on the delivery note provided by the carrier, upon receipt.
  2. To notify the carrier by registered letter with acknowledgment of receipt within two (2) working days of receipt, in accordance with Article L.133-3 of the French Commercial Code. A copy of this complaint must be sent simultaneously to [Name of your company].
  3. Attach, if necessary, a copy of the invoice corresponding to the goods concerned.

The mention "subject to control" has no legal value and cannot protect the customer in the event of a dispute.

  • Late Claims

After a period of two (2) working days after receipt of the goods, no complaints will be taken into account.

Article 6: Returns Policy

Any purchase order is final from the moment the package has been shipped. There is no withdrawal period since this site is exclusively dedicated to professionals. The products sold are neither returned nor exchanged, except in the event of a manufacturing defect or proven non-conformity:

  • Reporting: The customer must notify in writing any defect within 2 working days following receipt of the products.

  • Validation: After validation by customer service, defective or non-compliant products must be returned in their original packaging.

  • Fees: Return costs are the responsibility of the buyer.

No returns will be accepted for products used or damaged by the customer.

The recommended retail prices must be respected, Vital Perfect reserves the right to no longer deal with a professional if it is deemed harmful to the image of the brand, the products and the commercial policy. Similarly, the sales texts must be in accordance with the products and are your responsibility.

Article 7: Guarantee

The products benefit from the legal guarantees of conformity and against hidden defects in accordance with articles 1641 et seq. of the Civil Code.
The guarantee does not cover:

  • Defects due to improper use, neglect or normal wear and tear.
  • Damage caused by repairs not carried out by Vital Perfect.

Article 8: Intellectual Property

The texts, images, logos and content on the pro.vitalgomag.com website are protected by intellectual property laws. Any reproduction, distribution or unauthorized use is strictly prohibited.

Article 9: Limitation of liability

Vital Perfect cannot be held responsible for:

  • Indirect damages resulting from the use of the products.
  • The inadequacy of the products for the use intended by the customer.

The liability of Vital Perfect is in any event limited to the amount of the order in question.

Article 10: Applicable law and disputes

These General Terms and Conditions are governed by French law. Any dispute will be subject to the exclusive jurisdiction of the courts located within the jurisdiction of the registered office in Toulon, France.

Article 11: Personal data

The data collected as part of orders are processed in accordance with the applicable regulations (GDPR). The customer has the right to access, rectify and delete their data, which they can exercise by contacting Vital Perfect.

Vital Perfect reserves the right to modify its general conditions of sale at any time without notice.
